The position of Corporate Governance Manager is a key and central one within our organisation with a variety of responsibilities and activities as well as interactions with a wide range of stakeholders both within the team, the membership and the wider community. For many, the Corporate Governance Manager will be the ‘go to person’ within CIBSE and so we are looking for someone who can combine experience, gravitas and diplomacy with energy, excitement and a hunger to ensure the smooth running of our governance structure.

Governance:
Oversee the operations of the Board, Trustees and Committees and ensure the effective implementation of CIBSE’s governance processes, as well as providing advice and support as necessary.
Manage the schedules of business including training, development activity and formal meetings of the CIBSE Board (such as the Board Away-Day, CIBSE Council, and Annual General Meetings of the Institution), including agenda preparation, meeting organisation and minute taking.
Provide professional advice and guidance in the development of policies and procedures to ensure ongoing compliance with the principles of good governance. Safeguard the integrity of our governing documents and internal policies and ensure appropriate governance and policy information is accurately published on the Group’s website.
Manage the Professional Conduct Committee and support the processes for investigating complaints.
Comply with all governance requirements including the Annual Return to the Charity Commission, Company Returns for subsidiaries and manage liaison with the Privy Council Office and Charity Commission as required.
Co-ordinate the Institution’s compliance with GDPR and Data Protection requirements, working with the external GDPR consultant and Data Protection Officer
Support the ongoing activity and governance of the the Professional Conduct Committee (PCC)
The ideal candidate will have a forensic level of attention to detail coupled with the ability to question, challenge and improve long-standing structures, beliefs and policies with the correct level of governance and safeguarding.
The nature of the post means that the successful candidate will need a high level of confidentiality, integrity and flexibility as the specialist lead for corporate governance within the Institution. Their communication skills and ability to articulate the governance of our organisation in a clear and deliverable way, especially in a written format, will inspire confidence. Experienced in governance and planning, preparation and timely issue and publication of agendas, reports, supporting papers and minutes for senior meetings.
 
Knowledge of governance requirements relating to bodies incorporated by Royal Charter and Registered Charities
· Good working knowledge of IT systems and proficiency in Microsoft Office packages
· Ability to establish and maintain effective working relationships with other departments, senior stakeholders, current and prospective members, volunteers and committees
