Role Summary:

This role will suit a senior lawyer looking to work in a multi-jurisdictional organization in a fast-paced commercial environment. EXA is looking for an experienced, rigorous and effective Senior Legal Counsel who will cover all aspects of commercial and corporate contract negotiation from start to finish, as well as overseeing EXA's Ethics and Compliance governance framework and managing EXA's global regulatory regime across multiple jurisdictions. Candidates must be able to demonstrate good commercial acumen as well as being organized, efficient and capable of providing high quality legal and compliance advice. What will make the ideal candidate really stand out is their ability to think outside the box and bring new, innovative approaches to embedding risk management and compliance with our existing legal framework and organization.

Key Responsibilities:
• Draft / amend / advise on and negotiate the full range of commercial agreements for all EXA products.
• Well versed in corporate M&A documentation and process.
• Provide legal advice/drafting that is accurate, understandable to and focused on the issues of the business.
• Interact regularly with international teams, and work with local counsels on legal issues, international regulations and pre-litigation disputes and inquiries.
• Manage external legal counsel relationships, including coordination and review of legal documentation, as required.
• Oversee the third party risk management program and working with Procurement and Finance on the same.
• Establish and finetune global risk management programmes to support our Code of Ethics with particular focus on ABC, AML, Sanctions, Workplace ethics, modern slavery and supply chain risk and privacy.
• Ensuring group policies and procedures are aligned with current law and regulation both in the UK and in other countries where EXA has a presence, collaborating with external legal counsel, other functional and operational colleagues and risk managers.
• Organise annual compulsory training to all levels of the organisation and creation of delivery models appropriate for a diverse and hybrid workforce.
• Providing reports to senior management and board committees including tracking data for key measures.
• Leading internal compliance investigations and ensuring recommendations for improvement are properly documented and followed up.
• Project manage the risk and compliance consolidation/uplift programmes that are implemented as a result of M&A activities and ensuring a consistent and consolidated risk management approach is adopted across the organisation.
• Provide guidance on regulatory certifications including environmental compliance.
• Advise on sustainability and environmental laws and regulations.
• Overseeing the established whistleblowing process and working with legal on internal investigations. Manage reporting and relationships with governmental and regulatory agencies.
• Be able to articulate EXA's risk appetite to all levels of the company including senior management to ensure compliance with policies and make them aware of unfavourable terms and conditions.

• Strong attention to detail and organizational skills.
• Ability to handle a variety of complex legal matters and identify, anticipate, and develop solutions-oriented strategies that mitigate legal risks, while achieving commercial objectives.
• Ability to serve as a business partner and build consensus on complex legal and business issues while viewing legal issues through a business lens.
• Must be able to articulate the business drivers behind EXA's goals.
• Excellent communications and influencing skills, confident in dealing with all levels of the company (including executives) in a multi-tasking, multi-cultural environment.
• High EQ to quickly embed in the business and understand the people/cultural references.
• A motivated self-starter, able to deliver on their work and meet deadlines.
• Strong written and verbal communication, analytical and computer skills.
• Think outside the box with sound common sense and judgment. Comfortable with own areas of expertise and have a growth mindset, happy to learn more and be stretched.
• Excellent organizational skills, ability to manage multiple projects at once.
• Able to work effectively under pressure in a team environment.
• Must be both an independent worker and a team player with a positive can-do attitude, versatile, enthusiastic, friendly and approachable.

Essential Criteria:
• Strong experience post qualification experience ideally with a mix of in-house and private practice.
• Hands on experience of contract preparation, review and negotiation.
• Robust understanding of international compliance standards and frameworks.
• Telecoms/IT experience essential.
