We are recruiting exclusively for a precious and base metals developer that is advancing world-class global projects. The role will be responsible for supporting the General Counsel and Company Secretary, including assisting the GC/Cosec to support the C suite and committees, executive and senior management on legal, commercial, regulatory, corporate governance and company secretarial matters.

We are looking for a lawyer who is keen to develop their corporate and commercial skills and have a strong interest in company secretarial.


The responsibilities of the role will be -


Advising, drafting and negotiating in relation to transactions such as financings, construction or procurement agreements, commodity sale or offtake agreements, IT contracts and a wide range of commercial agreements.

Drafting and negotiating non-disclosure agreements.

Advising on legal, regulatory, litigation, reputational and risk management issues, including strategic initiatives, public statements, corporate governance and all on-going activities

As well as Company Secretarial/ Corporate Governance


Qualifications and Education

• Excellent academic credentials

• UK or common law qualification, current UK practicing certificate

• Experience of company secretarial work a plus

• 2+ years PQE with an international, commercially focused law firm or in-house within comparable industry, ideally with exposure to corporate and company secretarial work

• Broad legal technical and drafting skills

• Experience with corporate, commercial, regulatory and compliance matters

• Good numeracy skills

• Good word processing skills; familiarity with excel

• Awareness of civil law systems a plus
