Our client is seeking a skilled and experienced Company Secretary to lead its Corporate Secretarial function across the UK and internationally, ensuring top governance standards and supporting the Council, Board, and key Committees.

Key Responsibilities:

  • Governance Leadership: Ensure high governance standards and effective communication
  • Mentorship: Advise on governance and secretariat services
  • Meetings and Elections: Ensure successful processes
  • Compliance: Oversee Corporate governance and compliance
  • General Counsel Group: Work with administrative support
  • Secretariat Services: Support Council, Board, and key Committees
  • Governance Lead: Manage relationships with key Stakeholders
  • Documentation: Maintain and review governing documents
  • Compliance: Enforce governance frameworks

Principal Accountabilities:

  • Advisory Role: Support Chairs on governance
  • Rule Updates: Ensure clear governance rules
  • Efficiency: Improve governance functions
  • Training: Develop induction programs
  • Communication: Organise agendas and ensure decision follow-up
  • Interest Registers: Maintain registers of interests
  • Governance Reporting: Advise on governance changes

Key Contacts:

  • Internal: Board Chair, President, Committee Chairs, General Counsel, CEO Team, and Executive Leadership
  • External: Legal advisors and service providers

Decision-Making:

  • Recommendations: Propose governance rules
  • Agenda Planning: Schedule key meetings
  • Communication: Ensure clear Board and Committee communication
  • Conflict Management: Advise on conflicts of interest

Impact:

This role is crucial for governance and decision-making, with high visibility among Senior leadership

Qualifications:

  • Essential: Solicitor or Chartered Secretary, Corporate Secretary experience, strong relationship skills, board experience, and excellent communication
  • Desirable: Membership body experience, regulatory experience, financial markets understanding, public affairs exposure
