Job purpose


JOB PURPOSE


  • The Governance & Risk Officer plays a key role in supporting the Company Secretary / Head of Governance & Risk in ensuring that the charity complies with its legal and other regulatory requirements. The post-holder supports the coordination of risk and governance (internal and external), administration activities, supports the Head of Governance & Risk to arrange and respond to contract and regulatory compliance and management of the charity’s projects. They are a central point of contact for day-to-day risk, insurance and governance-related matters for staff and external stakeholders and deputise on behalf of the Head of Governance & Risk. More specifically they will be responsible to:
  • To support the Company Secretary / Head of Governance & Risk in the effective delivery of the Charity’s governance arrangements,
  • To develop the assurance activities for regulatory compliance,
  • To support service departments with their operational risk management,
  • To support the operational delivery of the internal audit programme,
  • To support governance meetings and draft minutes,
  • To work on broader corporate actions.


ORGANISATIONAL CONTEXT


  • The organisation is one of largest providers of supported housing in London and beyond, providing a safe place to stay for over 1,200 residents each night.

KEY TASKS


Governance and Compliance

Working with the Company Secretary / Head of Governance & Risk, to promote high standards of corporate governance ensuring The Charity and its subsidiaries meets its legal, governance and regulatory obligations:

  1. Supporting services with their regulatory reporting,
  2. Ensuring that the policy library is kept up to date on the Board Portal and Intranet,
  3. Maintaining the document library on the Board Portal,
  4. Co-ordinating governance training records,
  5. Compiling and tracking governance, risk and compliance action plans and trackers,
  6. Manage the digital records, title documents and evidence that supports entries in the Charity’s Assets & Liabilities and Contracts Registers.


Company Secretary

To support the Company Secretary by:

  1. Servicing governance meetings and taking minutes.
  2. Gathering information and assembling data to support Regulatory returns.
  3. Updating the governance pages of the Charity’s website and Intranet so that corporate information, policies and guidance are available in accordance with the Code of Governance.
  4. Co-ordinating the archive of legacy records
  5. Deputising for the Company Secretary during times of unavailability.


To support the statutory administration of the Charity and its subsidiaries including:

Reviewing records and consulting trustees, committee members, Executive Team and management colleagues on the accuracy of information and obtaining updates were required.


Risk Management

Supporting and developing the operational risk management activities of the Charity so that Services can recognise, record, monitor and mitigate risks.


In conjunction with the Head of Governance & Risk, ensuring that:

  1. there are robust processes and procedures that comply with statutory and regulatory requirements for probity, operations and reporting.
  2. a high standard is achieved in managing the Charity’s risk management activity
  3. day to day insurance queries are handled with the broker.
  4. Seeking assurance and evidence in support of controls and actions associated with approved strategic and operational risk registers.
  5. Tracking progress and compliance with approved Internal Audit recommendations.
  6. Maintaining all contact details and supplier information in the Business Continuity Plan so that it remains up to date.
