What you’ll be doing

You will be joining the client Legal team [more info to be added concerning team and reporting lines in due course].

This role comprises a broad spectrum of corporate legal work supporting Client’s subsidiaries, primarily in EMEA and LATAM but with some projects also extending to APAC.


Responsibilities:

General - broad range of corporate legal issues, support to Finance, Treasury and Tax functions, ad hoc corporate legal, company secretarial and compliance issues arising in any jurisdiction.

Projects – assisting on key Finance and Tax driven projects, for example dividends, capital increases and reductions, recapitalisations, intra-group financing including loan assignment and set-off, transfer pricing agreements, also requiring careful analysis of individual entities’ financial position, usually in the form of working balance sheets / simulations prepared by Accounting.

Treasury – providing attorney level support to the Client Treasury function, including implementation of, and ongoing corporate governance relating to, notional cash pooling, and review of new banking terms and conditions. Overseeing as required the work done by the paralegals, including KYC requests, signer changes, closure documentation.

Rationalizations – rationalizing entities worldwide, including pre-rationalization steps (such as assignments and distributions), share and asset transfers, statutory mergers, liquidations, and dissolutions/ striking off.

Accounting team support – working with the Accounting function and in some cases external book keepers on country-specific matters requiring legal input. To provide attorney level support where needed on statutory accounts approval processes managed by the paralegals across EMEA & LATAM, including review of certain UK holdco and trading entities’ draft accounts.

Directors’ Duties – advising board directors’ on their duties as they apply to proposed corporate transactions and organising and leading directors’ briefings as needed.

Corporate Compliance – monitoring legal developments and implementing new processes to ensure compliance with new corporate laws, with specific focus currently on the UK Economic Crime and Corporate Transparency Act & amendment to UK payment practices rules. Participation in ongoing process improvement initiatives across the team.

Corporate Governance – Board Meetings: organise, chair and minute regular bi-annual UK board meetings and any other ad hoc meetings across EMEA & LATAM when specific approvals are needed.Coordinate with the paralegal on the bi-annual regional LATAM board meeting, which you will chair. UK Corporate Reporting: coordinate with Accounting so you can identify UK governance thresholds which are met, and prepare s.172 statements and coordinate with internal stakeholders on required UK engagement statements.

You’ll need to

· Be a qualified UK solicitor (or overseas equivalent)

· Have 5 or more years PQE working in corporate law in private practice and/or in house

· Have solid experience of working on International transactions navigating legal processes and instructing counsel in multiple jurisdictions

· Have specific corporate law expertise in the UK or another major jurisdiction, including familiarity with requirements and processes under The Companies Act 2006.

· Have strong financial skills in terms of understanding entity balance sheets and at a basic level, understanding and advising on accounting aspects of corporate transactions such as dividends.
