Senior Associate, Transaction Management, Structured Finance, Commercial Banking

We are currently seeking an experienced individual to join this team in the role of a Senior Associate based within Structured Finance, Europe. The role is to lead the documentation phase of loan transactions from early stage documentation through to negotiation and completion originated by CMB Origination. The role reports to the Head of Transaction Management, Structured Finance and Risk Distribution, CMB Europe and is location agnostic.

The role holder is expected to lead on all commercial aspects of loan documentation and the documentation process, providing market colour and reflecting the bank's risk appetite. The transaction manager will support from origination pitch meetings and early stage documentation such as term sheets, to negotiation of key finance documents through to execution. There is internal and external representation in the role, requiring close contact with the Structured Finance Europe teams (such as Origination, Portfolio, Sustainability and Risk Distribution), relationship managers, credit and legal as well as the development of relationships with key external stakeholders, including customers, panel law firms and other professional advisers. Whilst legal knowledge of documentation is beneficial, this is a commercial role within the business, designed to support the originators and relationship managers with market colour and efficient execution of loan transactions for the European loan book. An ideal candidate would be an individual who has worked in corporate banking and is document literate / willing to learn the nuances of documentation, or a lawyer comfortable with the commercial negotiation of all documentation.

Your responsibilities will include:

  • Leading on all aspects of loan execution, including advising on the structure of a transaction, explaining commercial and some legal risks to ensure HSBC remains 'Best in Class'.
  • Negotiating and agreeing the terms of the LMA facility agreement and associated documentation, ensuring Structured Finance operates in accordance with the Bank's internal lending and other guidelines, credit controls and procedures.
  • Pitching for the coordination role and acting as a coordinator - leading multi-bank loan transactions, through a syndication process or co-ordinating a 'club' arrangement and detailing the risks associated with complex loan transactions to other banks and to the client.
  • Act as the first point of contact for relationship managers on the technical aspects of loan documentation, providing guidance on policy and delivering regular training in respect of market trends and structures to the wider HSBC community.
  • Developing networks both internally to collaborate across products and externally with other financial institutions and law firms to support Europe's growth agenda.
  • Support the Bank's overall Best Place to Bank, Work and Invest strategies.

Requirements

The ideal candidate for this role will have:

  • Experience working in relevant environment/s and market/context, i.e. syndicated loans or debt finance transactions (may include acquisition finance, project finance, leveraged or real estate finance), in investment banking or commercial banking frontline teams is essential
  • Relevant product knowledge including knowledge of LMA loan documentation, and the syndicated loans market more generally, including legal relationships across Europe - essential.
  • Ability and confidence to lead the documentation process from a commercial perspective, with awareness of key legal risks, and acting as coordinator for the client if required - essential.
  • Experience working on complex corporate loan transactions including refinances, sustainable linked loans, acquisition finance and post-IPO financing is essential
  • Business-level knowledge of French or German would be advantageous; additional European languages helpful.
  • In addition to UK / European LMA, specific knowledge of French or German LMA documentation as well as US LSTA documentation is beneficial.
  • Excellent written and spoken communication skills; an ability to communicate with impact, ensuring complex information is articulated in a meaningful way to wide and varied audiences
  • A comprehensive understanding of risk management and proven experience of ensuring own/others' compliance with relevant regulatory processes would be beneficial

The base location for this role is London and the role holder will be expected to travel when needed between major European hubs.
