Summary

  • We are seeking a qualified solicitor for our wonderful client's Group legal team focusing on M&A and Group Corporate and some commercial work.
  • The role will involve supporting all aspects of a wide range of Group corporate and finance work and cross border M&A transactions, including: instructing and liaising with external advisers; assisting with the drafting, negotiation and finalisation of SPAs and related agreements; Collaboration Agreements and Joint Venture Agreements; transaction management; post-transaction integration; drafting and negotiation of Group commercial contracts when required but mainly focusing on full M&A lifecycle.
  • This role reports to the Group M&A Legal Counsel. The role will partner closely with a wide range of internal group and regional teams and senior stakeholders and executives from across the business, including Group M&A, Group Finance and Regional leadership teams

What You Will Do

  • Working with the Group General Counsel, Group M&A Legal Counsel and Group M&A team to provide expert legal support on cross border M&A transactions globally. Including: drafting, negotiating and finalising NDAs, engagement letters and NBOs; leading Due Diligence projects; supporting all aspects of a wide range of corporate and M&A transactions, including assisting with the drafting, negotiation and finalisation of SPAs (acquisition and disposal) and related agreements.
  • Identifying, instructing and liaising with (and managing costs of) local counsel and working with the Group M&A team to build the team of external advisers to support M&A transactions.
  • Responsibility for legal transaction management and post-transaction hand-over to regional teams. Co-ordinating with external advisers, the Group M&A team and regional leadership teams to ensure a smooth transaction process and adequate legal support throughout.
  • Responsibility for overseeing post-transaction legal integration and completion of the M&A legal integration checklist, working alongside the Head of Legal for the relevant region and wider regional leadership teams.
  • Supporting expansion into new jurisdictions though both M&A and greenfield projects including: new country legal due diligence to understand the legal, regulatory and operating framework for operating schools; review and selection of legal advisers and other key providers (e. payroll, visa support etc); briefing regional teams on new country requirements; assisting with staff relocations; co-ordinating the roll-out of Group legal policies and processes where required.
  • Working with the Group Finance team on intra-group financing arrangements including cross border financing, service agreements, and consideration of tax structuring implications.

Ideal Candidate would:

  • Have at least 3 years PQE (qualified in UK or another jurisdiction) and experience working on the full lifecycle of M&A transactional work
  • Ability to run deals autonoumously with the support when required from senior team members
  • Ability to build strong relationships globally
  • Private practice expience working on international M&A matters
  • Experience in-house would be a huge advantage but private practice solicitors seeking an interesting and international corporate role would also be well suited.

  • Early to Mid July Start date likely
  • Remote position available but central London office is also available to work in and collaborate with team members 2 days a week
