Job description

We are looking for a Senior Legal Counsel - Debt Capital Markets (DCM) to join the HSBC UK Legal Team [note we are not HBUK we are part of GBM for HBEU and HBCE]. The purpose of the role is to provide transaction management execution services, legal advice, guidance and support to DCM in EMEA, the MTN desk and to the Structured Solutions Group (SSG) and to Real Assets Finance (RAF) for their capital markets transactions to ensure that the Group's exposure to legal risk is managed and the execution of Group business and operational strategies and initiatives is facilitated.

HSBC UK Legal plays an important role in protecting the Group's reputation by helping to future-proof the organisation through the provision of robust and comprehensive legal advice to senior management, business lines and functions

Your responsibilities will include:

  • Being a trusted adviser and partner to the business. The role requires a can do and hands on approach, assisting from pitch stage, meeting with clients and appointing and management of outside counsel, reviewing and negotiating documentation as well proactively ensuring the smooth running of each transaction through to the closing;
  • Working closely alongside the other Legal teams in EMEA across the Group;
  • Working across investment grade as well as emerging markets transactions including senior debt issuance as well as capital (AT1, MREL) and subordinated transactions, liability management, securitisation, sukuk, and covered bonds and may be documented under Reg S or 144A/Regs S or SEC;
  • Providing commercially sensitive, pragmatic and practical legal support and advice to DCM with regard to legal risks arising in your area of expertise;
  • Working closely with other key stakeholders from compliance and regulatory change teams in order to advise and assess legal and regulatory issues that arise on transactions, such as MAR or MIFID II or UK MiFIR or PRIIPs or ESG sometimes complex issues.

Requirements

The ideal candidate will be / have:

  • An English/US law qualified solicitor with senior level PQE and post qualification experience in debt capital markets, including regulatory capital, high grade and emerging markets, MTN programmes, sukuk finance, corporate issuance, liability management and covered bonds is essential;
  • Experienced and confident practitioner able to understand and deal with a wide range of issues, from complex to administrative is essential;
  • Up-to-date knowledge of developments in own industry sector and familiarity with MIFID2, UK MiFIR, PRIIPs, ESG, Prospectus Regulation and cross border banking laws and regulations highly desirable;
  • Able to work in a team but also able to manage own workload independently;
  • Knowledge of the of HSBC's corporate cultures and values;
  • Experience of making prompt and practical business decisions, even in times of ambiguity, considering various perspectives and taking responsibility for the outcomes such as potential long term risks and implications;
  • German, French, Italian, Spanish or other languages are would be beneficial although not essential.

The base location for the role is London. Hybrid working applies.
