Nicholas Scott is working with one of the largest law firms in the world with over 40 offices .

The London Private Equity Team has an opportunity for an Associate with a

minimum of 2 PQE

in Private Equity.

You will need PE experience as they are not looking for corporate lawyers looking to move into PE.

The lawyers in their private equity transaction practice represent sponsors that provide private capital, as well as the companies, management teams, family offices and entrepreneurs who utilise that capital to acquire, create and grow businesses around the globe. The role will focus on advising private equity sponsors, portfolio companies and management teams on a broad range of matters, including auction and buyout processes, majority and minority investments, bolt-ons, exits and corporate advisory work.

You will have the following skills/experience:n(a) experience of working on multiple private equity transactions, including drafting and negotiating preliminary documentation such as Exclusivity Agreements, Heads of Terms and Management Equity Term Sheets, as well as SPAs, Disclosure Letters, Investment Agreements and Articles of Association, legal due diligence and ancillary documentation; (b) excellent drafting and technical skills;n(c) ideally, market knowledge of typical terms on private equity transactions;n(d) be able to work effectively independently, but also be a good team worker;n(e) have strong interpersonal and communication skills (including strong presentation skills);n(f) an ability to get on well with clients, colleagues and support staff;n(g) be able to work effectively under pressure and to stay calm;n(h) ideally have experience working in the London office of an international firm.
