About this role:


Reporting to our Head of Governance and Compliance, this role plays an important part in assisting the team to deliver SIB's new strategy and focus.

The Governance Officer will support various administration activities and coordinate meetings across internal teams, Boards and Committees. This role will also undertake audit and compliance work with the Head of Governance and Compliance.

Key responsibilities

  • To provide secretarial support for the Investment Committee, Recovery Loan Fund Committee and the Audit and Finance Committee by circulating invites in advance to the Committee Members and prepare for the meetings with the Chairs by ensuring quoracy and noting attendance.
  • Support the production of papers with the internal Investment team and Finance team and upload them to our Board paper software which will circulate papers in advance of the meeting.
  • To minute an accurate record of the Investment, Recovery Loan Fund and Audit & Finance meetings, and circulate a draft of following the meeting for approval, and liaising with the relevant Chairs and Directors to finalise.
  • To lead on the logístical elements of the meetings whether it's hosted online via Zoom, or planning an inperson meeting and ensuring a venue is booked and providing refreshments and technical set up at the meeting.
  • Recording, filing, and updating legal documentation relating to the Boards and Committees, such as Articles of Association and Terms of reference.
  • Recording accurate information, the Companies House and Charities Commission websites.
  • Updating the matters arising sheet and following up with the relevant team member or Director with actions ahead of the upcoming meeting.
  • Being an active part of the Governance Working Group within SIB, which meets monthly to update and plan for the Governance Committee as well as providing quarterly updates to the Joint Board.
  • Schedule the Board and Committee calendar for the year ahead.
  • Being on hand to support the Governance team and cover any meetings which require minute taking on the occasion another team member is unavailable.
  • Keep updated the delegated authorities, ensuring approval of any changes and coordinating all aspects of the tendering process to ensure compliance. Including setting up the tender panel, liaising with tenders to arranging meetings and documenting final decision.
  • Undertake audit and compliance work as directed by the Head of Governance and Compliance collaborating across relevant teams and ensuring findings and remedial actions are fully documented and communicated.
  • To work within the organisation's values, principles, and processes to achieve operational excellence.

  • In agreement with manager to undertake other tasks and work on cross team projects that support the objectives of SIB as required.

  • Awareness of Governance and Company Secretarial duties
  • Experience of internal auditing.
  • Experience of tender processes.
