Job Description

Provide advice on various legal matters and perform legal review of contracts and other legal documentsReviews, negotiates, and drafts various contracts for the business lines and support functions including bilateral and syndicated credit agreements (with focus on investment fund finance), custody agreements, securities lending agreements as agent (e.g., MRAs, MSLAs, GMSLAs, GMRAs, ISDAs, tri-party collateral agreements).Assists with corporate governance matters, including the preparation of materials for Branch governance committee meetings, including the Executive Management committee and other internal governance committees and related agendas, corporate resolutions, minutes and other corporate governance documents, action items and records.Drafts and reviews legal correspondence, research memoranda, template texts for standardized agreements, internal policies and procedures and internal presentations on topics as needed. Assists with the internal business management functions of the Legal Group as needed.Draft, review, and negotiate contracts and advise on legal risks associated with deals Advise on the Bank's legal issues, services and moreAssist with special projects as needed

The Successful Applicant

JD from US ABA accredited law schoolAdmitted to a US State Bar5+ years of banking, finance legal experience gained in-house within financial services or at a law firmExperience advising on bilateral and syndicated commercial lending mattersExperience relating to commercial loan work-outs Excellent written and verbal communication skillsTeam player
