Job Description
The Commercial Counsel will report directly to the General Counsel and be responsible for managing legal matters, while coordinating with international team. Responsibilities will include:
Draft and negotiate complex commercial and technology agreements, including: SLAs, SaaS agreements, license agreements, NDAs, vendor contracts, DPAs, and partnership agreementsAdvise management, sales, customer success as well as finance and other company departments on legal issues and risks, complex deal structures, approval processes, company policies, procedures and negotiation strategies;Advise business leaders on a wide range of legal matters in a clear and concise mannerInteract with internal clients on a daily basisManage outside counselThe Successful Applicant
JD from a US ABA-accredited law schoolAdmission to NY State Bar 4+ years of experience dealing with technology contracts with an emphasis on SaaS contracts, gained in-house at a technology company or related industryExperience must include transactional expertise in software, data, complex licensing, outsourcing, employment law legal experienceExperience supporting Sales and Customer Success teams important High-volume technology contracts experience, drafting and negotiating technology agreements, including, consulting services agreements, software license and maintenance agreements, vendor contracts, SLAs, DPAs, etc.Must have experience partnering directly with clients on a daily basisTeam player with excellent communication skillsMust be able to work autonomously
