Job Summary

BACB plc is looking for a Governance and Company Secretarial Senior Associate (“GCSA”) (equivalent to a Senior Company Secretarial Assistant) to join its Governance function. The role will be based in our offices in London, located at Mansion House Place near Bank.

Reporting into the Company Secretary and Head of Governance, the successful candidate will be expected to work proactively as part of the Governance function and wider Regulatory and Legal team.

As a GCSA you will work as part of a small but high profile function providing a broad spectrum of governance and company secretarial services covering Board and Executive facing responsibilities, statutory and regulatory compliance, governance and best practice advice to the BACB business and across its 1st and 2nd line functions.

Key Work Outputs and Accountabilities

  • Act as Secretary on behalf of the Company Secretary to a number of the Bank’s Executive Committees, providing full meetings support from agenda planning, paper collation, meetings management and drafting associated meeting minutes and actions for timely circulation and follow-up within agreed SLA’s.
  • Assist with the logistical arrangements for BACB’s Board and Executive including their respective Committees and the preparation of forward calendars, sending and managing meeting invitations and booking meetings rooms.
  • Assist with the management of Statutory Registers and records on digital company folders and preparing Statutory filings at Companies Houses via web-filing.
  • Assist with the creation and maintenance of Governance Documents, Structure Charts and Registers etc. and their maintenance on the Governance intranet page as appropriate.
  • Assist with periodic requests for information and input into various statutory and regulatory processes, responding promptly and positively to requests for service, information, and advice from colleagues across the Bank e.g. KYC requests, company information, due diligence requests etc.
  • Apply critical judgement to all governance administrative processes and actively identify and propose actions for improvement.
  • Act as a point of contact for team queries and any other ad hoc duties as required.

Required Qualifications and Experience

  • The passion, drive, and desire to work in an agile fast-paced regulated environment balancing various key stakeholders and deadlines.
  • Proven company secretarial experience in a UK regulated financial services company.
  • Strong experience of managing senior stakeholders and providing governance advisory services.
  • Meticulous attention to detail
  • Good knowledge of Board and Committee meeting portal software e.g. Diligent Board Books
  • A CGI (Chartered Governance Institute) qualified or part-qualified Company Secretary with demonstrable experience working in a company secretarial role, ideally.
  • Knowledge of the Companies Act 2006, governance codes and regulatory frameworks e.g. SMCR.
