The role requires someone who is available to start around mid-January 2026 until November 2026 , ideally with some flexibility around dates, and with approximately 5-8 years of post-qualification experience in a combination of private practice and in-house environments having previously focused on corporate transactions but open to expand into a broader in-house legal role. The role requires someone who has the technical expertise to assess and understand complex M&A and legal issues, and to identity, prioritise and provide commercial solutions. The role also requires experience working in a global business including the US, and ideally including China, Brazil, Europe, the Middle East and South Africa. The role would suit someone who likes working in a fast-paced, collaborative, positive and non-hierarchical environment, and who enjoys working on a wide variety of corporate, commercial and legal matters. It would also suit someone who likes to get stuck into tricky issues and come up with creative solutions based on a commercial and practical perspective. Finally, it requires someone who is able to build trust and confidence with their business partners and who can embed themselves with the event teams to better understand the commercial and legal issues. A bit about the role Our teams sit in the centre of the business, and we’re looking for someone to work closely across the Corporate Development team, Exec & senior leadership, events teams and supporting functions including operations, sales, M&A, compliance/data privacy, cosec, finance, tax, and treasury teams as Interim Senior Corporate Counsel . You’ll report to the General Counsel based in the London office in Paddington. As the Interim Senior Corporate Counsel, you will lead a team of two direct reports and one indirect report with a variety of experience and will support their career development and growth. You will have autonomy and independence in your day-to-day work and be given the opportunity to self-start and drive change. You will be encouraged and empowered to take initiative and have hands-on ownership of strategic projects and key legal transactions / projects. As part of your job, you will: General: Provide perceptive, comprehensive and pragmatic legal advice to the business on global corporate and commercial matters. Engage external legal counsel and specialists where appropriate and manage legal spend on projects that require such support. Advise and collaborate with senior stakeholders and the business on key strategic initiatives and projects ensuring they are built on firm legal foundations. Manage, support and mentor more junior members of the Legal Team to ensure their professional development needs are met. Manage and advise on any pending litigation and work with specialist advisors where appropriate to ensure we come to the best possible outcome for the business. Help build new ways of working within the legal team and overall business by implementing appropriate legal tech tools to create efficiencies, best business practices and good governance in our work Stay abreast of changes in relevant laws and regulations and ensure the company's compliance, proactively identifying legal risks and opportunities. Provide training to the business on important legal matters such as corporate transactions and commercial legal issues. Corporate: Oversee legal aspects of global and cross-border corporate transactions (acquisitions, divestments, joint ventures, and corporate finance and treasury matters) and work closely with external advisors for successful delivery of these transactions Guide the legal due diligence process on target businesses, including setting the scope for external counsel and review and advising on due diligence material to assess for commercial, operational, financial and legal risks and using judgment and initiative to address those risks either in the deal documentation and/or valuation or integration workstreams. Assist in preparing, negotiating and executing corporate transactions, and related documentation to ensure Hyve interests are protected (letters of intent, sale purchase agreements, asset transfer agreements, shareholders’ agreements, loan agreements etc); Support the learning and development of other members of the Legal Team on M&A processes and strategy, including supervising corporate transactions led by more junior Legal Team members. Provide corporate structuring and legal advice (with external support) as part of shaping the commercial deal. Work closely with the M&A team, Tax, Finance and HR teams to ensure these transactions are being executed effectively, and with appropriate risk management at Group and business level. Using experience and judgment to determine which issues are important for the company, when to push or concede in negotiations and when/what to flag issues to the wider team. Assist the executive team and senior stakeholders to manage post-completion issues on M&A transactions that may arise including remediation of risks, integration support and earn out/contingent payments in prior deals. Partner with the M&A team in assessment of M&A strategy and opportunities. Assist on corporate restructurings, entity rationalisation projects and other ad hoc corporate related work. Commercial & other areas Oversee the drafting, review, and negotiation of a variety of key global legal agreements ensuring they protect the business, maximise value and mitigate legal and commercial risk.
